To be an authorized affiliate of Goalscape Software GmbH, you agree to abide by the terms and conditions contained in this agreement.
Please read this agreement carefully before registering and using the Goalscape service as an affiliate. By signing up for the Program, you indicate your acceptance of this agreement and its terms and conditions.
GOALSCAPE AFFILIATE PROGRAM
This agreement states the full terms and conditions that apply to individuals or entities (“Affiliates”) participating in the Goalscape Affiliate Program (“the Program”). We hereby wish to appoint you as an Affiliate of Goalscape Software GmbH (“Goalscape”, “us” or “we”) for the purpose of promoting Goalscape products and services through your website or other channels of communication in exchange for a referral commission detailed in Clause 5 of the terms and conditions of this Agreement.
2. APPLICATION PROCEDURE
2.1 In order to become an affiliate of Goalscape you must make a formal application on our website subsequent to the acceptance of the terms and conditions set out herein.
2.2 On receipt of your application we will evaluate your and your website’s suitability to the Program. We reserve the sole right to decline your application if we feel that it does not satisfy the interest of either Goalscape or the Program or both. Once your website has been reviewed we will notify you whether your application has been accepted or declined.
2.3 If your website is accepted and it is later determined that you are unsuitable for the program then we have the sole discretion to cancel the Program with immediate effect.
Participation in the Program requires your website to be correctly integrated to our website. You must adhere to the following terms to ensure this condition is maintained through the term of the Program.
3.1 Integration of your website to our website is achieved through a choice of links and promotional codes. Any of the links will enable your end-user to navigate to our website or quote a unique code at any point during the sign up process.
3.2 Goalscape controls the entire appearance of the links on your website and you agree that participation in the Program requires you to adopt only the links presented at registration as described in sub Clause 3.1.
3.3 You may not alter the appearance or the functionality of the links in any such way without express permission and approval from Goalscape.
3.4 From time to time we may alter the appearance or functionality of the links and it is your responsibility to ensure that you are using the most up to date version. We therefore advise you to return to the site regularly to ensure this requirement is satisfied.
It is Goalscape’s responsibility to process orders for customers referred from your Site through the integration detailed in Clause 3. It is also Goalscape’s responsibility to manage all aspects of after sales service and any other issues associated with the order. We will track sales made to customers who purchase products or services using the links from your website to our website and make such data available to you via your account on the Goalscape Affiliate website. You must ensure the links from your website to our website are correctly formatted at all times. As a participant in this Program you must accept that we cannot be held responsible for the incorrect formatting of the links on your website and will not be liable to settle any referral fees that occur through such circumstances.
5. REFERRAL COMMISSION
5.1 In order for a referral to generate commission, the customer must first arrive on our website from your website or by quoting the unique promotional code via the integration detailed in Clause 3 and then purchase a product or service on our website, accept our specific terms of purchase and remit payment in full to Goalscape.
5.2 Referral commission will be paid only when a customer enters Goalscape and completes an order within a session. The session is defined as a period of time between the time when the customer enters our website through the integration detailed in Clause 3 to (a) sixty (60) days after the initial click through or contact, (b) once the customer has made a purchase and (c) if the customer re-enters the site through another third party affiliate link.
5.3 Referral commission will be paid at 25% of the amount paid for sale of each Goalscape product via your affiliate link for as long as you continue to promote Goalscape and generate new sales. Should you make no new sales through your affiliate channel in any 12 month period you will no longer receive the commission on previous sales.
5.4 The Program is intended for commercial use only and, except for discounts offered or specifically permitted by Goalscape, you must not under any circumstances offer discounts coupons, incentives, commissions or payment to any individual or business in return for making an order on our website through the integration detailed in Clause 3. It is also forbidden to purchase products or services through this Program that are intended for resale or commercial exploitation. Such actions may result in the withholding of referral fees and/or immediate termination from the Program.
5.5 Note that if visitors have their browser preferences set to delete cookies at the end of each session, their purchases will only be attributed to your account if they make them in the same session as a visit via your Affiliate Link
6.1 Remittances will be paid on all orders processed on our website that meet the provisions detailed in Clause 5 and following sub Clauses. Except as provided under Clause 6.2, the commission will be paid monthly within 21 days of the end of the calendar month and will cover sales made in the previous month at the rate specified in sub Clause 5.3,.
6.2 If the referral commission generated in one month is less than fifty euro (€50.00) then the remittance may be retained until the cumulative amount of commission is greater than €50.00. Once the remittance is greater than €50.00, the referral commission will be paid within 21 days of the end of the calendar month.
6.3 If a refund is given on a sale that has previously generated a referral commission, we will deduct the corresponding fee from your following remittance. Should the funds be unavailable we will invoice you for the outstanding fee.
6.4 VAT invoices should not be sent by you for any outstanding commission.
6.5 Businesses that are registered for VAT must insert their VAT number on application to the Program.
6.6 It is your responsibility to ensure any taxes are paid on the remittance.
6.7 Remittances shall be made via PayPal.
7.1 Customers who buy products or services from Goalscape via the Program are the responsibility of Goalscape. As such all operating policies, customer service issues and warranties associated with an order are the responsibility of Goalscape.
7.2 It is at the sole discretion of Goalscape to change any policies or terms referred to in sub Clause 7.1. Any such changes will be posted as soon as possible in the relevant areas of our website but Affiliates will not necessarily be notified directly of every such change. We strongly advise all Affiliates to check our website regularly for any changes to our EULA and for other notices regarding changes to functionality, services, price, trial period, etc.
7.3 Goalscape makes every effort to ensure its product or service specifications, price and availability are accurate at the time of sale; however we provide no guarantee that this provision will be met.
8. LICENSE AGREEMENT
8.1 Goalscape grants you a non-exclusive, worldwide, royalty-free license for the term of this Program to utilize the integration detailed in Clause 3 for the purpose of generating referrals from your website to our website.
8.2 Goalscape has the right to terminate this license at any time if we deem that the integration in Clause 3 is not been used in accordance with the Terms and Conditions of this Agreement.
8.3 We reserve all rights to any other graphics, text, source code, trademarks, trade names, and all other intellectual property rights contained within but not limited to the Goalscape website.
9. TERM OF AGREEMENT
9.1 The term of this agreement will begin upon our acceptance of you to participate in the Program and will end when terminated by either party.
9.2 Either you or Goalscape have the right to terminate the agreement at any time upon issue of a written notice to the other party.
9.3 You are eligible to earn referral commission only on orders that were taken during the term of this agreement in conjunction with the provisions detailed in Clause 5. Should you decide to terminate the agreement you will receive remittance only on referrals that were not subsequently cancelled or returned.
9.4 On cancellation of the agreement we may hold remittance for a period of time that is necessary to calculate final payments.
9.5 Upon termination of the agreement by either party you must remove any links, graphics, text and source code associated with the Program.
10. LIMITATION OF LIABILITY
10.1 Goalscape will under no circumstance be liable for indirect, special, or consequential damages including any loss of business, revenue, profits or data in relation to your participation in the Program.
10.2 In addition to sub Clause 10.1 our total liability with respect to the Program will not exceed the total referral commission paid or payable to you under this agreement at the time the event that gave rise to the liability took place.
10.3 Notwithstanding the previous paragraph, nothing within this agreement will operate to exclude any liability for death or personal injury arising as a result of the negligence of either party, its employees or agents.
11.1 We make no warranties expressed or otherwise implied with respect to participation in this Program or any other products or services sold through this Program (including, without limitation, warranties of fitness or merchantability).
11.2 We do not guarantee uninterrupted availability of the Goalscape website and cannot provide any representation that using the website will be error free.
12. YOUR WEBSITE
You hereby acknowledge that you are solely responsible for all materials that appear on your website and accept that inclusion of any of the following material is prohibited:
12.1 Any illegal material,
12.2 Any obscene or sexually explicit material,
12.3 Any violent, threatening or abusive material,
12.4 Any material that may infringe the intellectual property of any third party,
12.5 Any other material that Goalscape may decide is not in the general interest of the Program.
13. RELATIONSHIP OF PARTIES
13.1 The Program defined in this agreement is intended to be carried out on the understanding that both parties are acting as independent contractors and there is no attempt to form any partnership, joint venture, agency, sales representative, or employment relationship in this agreement.
13.2 Further more neither party has the authority to create liability against the other party
Goalscape reserves the right to alter the terms detailed within this agreement. By continuing to utilize the most up to date links referred to in Clause 3 you will be deemed to have acknowledged and understood the current terms and conditions of the Program. Any amendments will, wherever possible, be communicated to Affiliates by email or by notices on the Affiliate website. We strongly advise all Affiliates to check the Terms and Conditions on the Goalscape Affiliate website regularly.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.
16. SPAM PROHIBITION
Certain forms of indiscriminate advertising, commonly referred to as "spamming", are unacceptable as they could cause damage to our brand name. Prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, domain name or return email address.
Mailings are acceptable only as long as the recipient is already a customer of Goalscape and/or the Affiliate’s services; and recipients must have the option to remove themselves from future mailings. Newsgroup postings are acceptable only in newsgroups that specifically welcome commercial messages; when in doubt, consult the newsgroup FAQ or moderators to be sure that such a message is acceptable in that newsgroup. Affiliates must also clearly represent themselves and their websites as entities independent from Goalscape.
In any forum or media, Affiliates are expected to honor the advertising practices and restrictions that are commonly considered acceptable by its readers. Failure to honor this code of conduct may result in immediate termination of an Affiliate's account as well as forfeiture of commissions gained through such activity. Such termination may be immediate and without written or any other notice (this takes precedence over paragraph 9.2 above).
17. BIDDING PROHIBITION
Bidding on search terms and keywords in search engines so as to intercept organic traffic (and earn commission on sales that would have been made by Goalscape anyway) is strictly prohibited. Goalscape will conduct periodic checks for the occurrence of such bidding. Participation in such activity in any way may result in immediate termination of an Affiliate's account as well as forfeiture of commissions gained through such activity. Such termination may be immediate and without written or any other notice (this takes precedence over paragraph 9.2 above).
18. MULTIPLE COOKIE DROP PROHIBITION
Dropping multiple cookies on customers clicking a link (paid or otherwise) is strictly prohibited. Goalscape will conduct periodic checks for the occurrence of breaches. Participation in such activity in any way may result in immediate termination of an Affiliate's account as well as forfeiture of commissions gained through such activity. Such termination may be immediate and without written or any other notice (this takes precedence over paragraph 9.2 above).
19. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of Germany and both parties hereby agree to be bound exclusively by the jurisdiction of German law without reference to rules governing choice of laws.
Goalscape Software GmbH uses your data with the highest care possible. When we collect and store your personal data (comprising name and email address) we guarantee that we do not forward this data to any third party and only use the data to provide you with important information about the software and to respond to support requests from you.
If you want to receive our newsletter you need to provide a valid email address and, if necessary, additional information that will allow us to make sure that you are the legitimate owner of this address and that you agree to receiving the newsletter. Other data is not stored. You can unsubscribe from our newsletter at any time: when you do so your email address will be permanently deleted from our mailing list.
Goalscape Software GmbH also automatically stores Server Log Files that contain technical information provided by your browser. These are: browser type and version, operating system, referral URL (the website visited immediately prior to arriving at our site), hostname (IP address) and time of the server query. It is not possible to link this data to any specific person. We do not relate these datasets to any other datasets and we delete the data after a statistical analysis.
Whenever you want, you can ask us for all data that we have stored about you, where we received the data and the reason for storing the data; and you can demand the immediate deletion of all such personal data. To do this, contact our support team by emailing [email protected], or by posting on the customer forum, or by writing to Goalscape Software GmbH, Esmarchstrasse 51, 24105 Kiel, Germany.
